Shoprite Holdings is set to deepen its presence beyond traditional grocery retail with the proposed acquisition of Vida e Caffe, adding an established coffee and quick-service restaurant (QSR) network to the group’s growing portfolio of adjacent retail businesses.
The transaction, announced alongside Shoprite’s results for the 52 weeks ended 28 June 2026, remains subject to conditions precedent and regulatory approval.
If completed, the acquisition will give Shoprite access to a network of approximately 400 corporate and franchise stores, together with Vida e Caffe’s operational expertise in the coffee and QSR sector.
Shoprite said the deal is intended to strengthen its position in the growing coffee and quick-service restaurant category, while providing another avenue for expansion beyond its core supermarket operations.
The move forms part of the retailer's broader strategy of investing selectively in adjacent growth markets where specialist expertise and speed to market can provide a competitive advantage.
From supermarkets to adjacent retail categories
The proposed Vida e Caffe acquisition comes as Shoprite continues to demonstrate strong performance across its core South African supermarket operations.
Supermarkets RSA, which contributed 84.5% of group sales, increased sales by 7.1%, adding R15.2bn to the prior year's base. Checkers and Checkers Hyper led growth within the segment, with sales increasing 10%, while Shoprite and Usave recorded sales growth of 4.3%.
Importantly for consumers facing continued cost pressures, internal selling price inflation across Supermarkets RSA averaged just 0.8%, compared with Stats SA's reported 3.9% food and non-alcoholic beverages inflation for the year.
Shoprite said this reflects its ongoing focus on affordability, with R18.3bn in Xtra Savings rewards returned to customers at till point during the year.
The group's performance also highlights the increasing importance of convenience-led retail formats. Sixty60 sales rose 34.5% to R25.5bn, adding a record R6.6bn in revenue over the year.
Coffee becomes a strategic growth category
The planned Vida e Caffe transaction signals Shoprite's interest in capturing more consumer occasions outside the conventional grocery basket.
Coffee and QSRs offer opportunities to participate in high-frequency consumption occasions, while the established Vida e Caffe network provides an existing footprint across corporate and franchise locations.
For Shoprite, the acquisition could complement its existing food retail ecosystem while giving the group exposure to a category driven by convenience, lifestyle and on-the-go consumption.
The retailer has also been expanding its portfolio into specialist and adjacent categories. Its Petshop Science format reached 185 stores following 41 net new openings, with sales increasing 74.5%.
The strategy demonstrates Shoprite's willingness to build or acquire specialist propositions where it sees potential for scalable growth.
Building a broader retail ecosystem
Vida e Caffe is not the only transaction forming part of Shoprite's expansion into adjacent markets.
Post year-end, the group finalised the acquisition of an initial 51% interest in R&A Cellular, supporting the expansion of financial services and value-added products across informal and semi-formal retailers.
Together, these moves point towards a broader Shoprite strategy that extends beyond supermarket shelves and into services, convenience, foodservice and specialist retail.
The proposed Vida e Caffe acquisition is particularly notable because it introduces an established branded restaurant and coffee proposition into a group whose scale has traditionally been built around grocery retail.
At the same time, Shoprite's core business continues to provide the financial foundation for this expansion. Sale of merchandise from continuing operations increased 7.2% to R270.8bn, while trading profit rose 8.4% to R16.2bn. Headline earnings per share increased 12.2% to 1,532.5 cents.
The group declared a final dividend of 566 cents per share, taking its total dividend for the year to 873 cents.
As Shoprite continues to expand its ecosystem, the Vida e Caffe deal could represent an important step in its evolution from a supermarket-led retailer into a broader consumer platform spanning groceries, digital convenience, financial services, specialist retail and foodservice.
