Workshop on how to prepare and submit an MOI
The purpose of the workshop is to show accountants how to prepare and submit a Memorandum of Incorporation for different types of companies.
It is imperative that companies review and align their current articles of association with the new MOI format. All companies should replace their current articles of association with the new Memorandum of Incorporation (MOI) format. All close corporations that convert to the new company form will have to adopt a new MOI.
The deadline for filing the new Memorandum of Incorporation (MOI) is 1 May 2013.
Any provision contained in the old articles of association that is in conflict with the new Act will not be valid after 1 May 2013. In addition the audit exemption can only be claimed if the MOI provides for this.
